These Terms of Service govern your use of paspira.com and the Paspira CarbonLedger platform operated by Paspira ("we", "us", "our"). By creating an account or using the platform you agree to these terms. Please read them carefully before using the service.
Paspira is a carbon intelligence platform trading as Paspira CarbonLedger, based in England and Wales. References to "Paspira", "we", "us" or "our" in these Terms refer to Paspira and its operators.
The platform provides tools for greenhouse gas emission measurement, carbon accounting, compliance reporting and carbon credit management for businesses. The platform is provided as a software-as-a-service (SaaS) product accessed via paspira.com.
By accessing or using the Paspira CarbonLedger platform you confirm that you have read, understood and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms you must not use the platform.
If you are using the platform on behalf of an organisation you represent that you have the authority to bind that organisation to these Terms and that your acceptance constitutes acceptance by that organisation.
You must be at least 18 years old to use this platform. The platform is intended for business use only and not for personal or consumer purposes.
Paspira CarbonLedger provides the following services depending on your subscription plan:
We aim to provide the platform with at least 99% uptime measured monthly. We may carry out scheduled maintenance which we will notify you of in advance where possible. We are not liable for interruptions outside our reasonable control including third-party infrastructure failures.
We may update, modify or discontinue features of the platform at any time. We will give reasonable notice of material changes. If we discontinue the platform entirely we will provide at least 30 days notice and refund any unused prepaid subscription period.
Emission calculations on the platform use UK Government DEFRA Greenhouse Gas Reporting Conversion Factors. We update these annually. The accuracy of your emission calculations depends on the accuracy of the activity data you enter. We are not liable for incorrect calculations resulting from incorrect or incomplete data provided by you.
To use the platform you must create an account by providing accurate information including your name, email address and organisation name. You are responsible for keeping this information current and accurate.
You are responsible for maintaining the security of your account credentials. You must not share your password with anyone. You must notify us immediately at support@paspira.com if you believe your account has been compromised. We are not liable for losses resulting from unauthorised account access caused by your failure to maintain credential security.
Each subscription covers one organisation and the number of user seats specified in your plan. You must not use your account on behalf of multiple separate organisations without purchasing additional accounts. Enterprise plan customers may use the multi-entity consolidation features within a single group structure.
You must use the platform only for lawful business purposes. You must not use the platform to submit false emission data for the purpose of generating misleading compliance reports, to circumvent or manipulate carbon credit markets, to gain access to another organisation's data, or for any purpose that violates applicable law.
The platform is available on the following subscription plans:
Prices are exclusive of VAT. Where VAT applies it will be added at the applicable rate at checkout. We reserve the right to change pricing with 30 days notice to existing subscribers.
Monthly subscriptions are billed in advance on the same day each month. Annual subscriptions are billed annually in advance. All payments are processed by Stripe Inc. and are subject to their terms of service. By providing payment details you authorise us to charge the applicable subscription fee on each billing date.
We may offer a free trial period for new accounts. At the end of any free trial your account will convert to the selected paid plan unless you cancel before the trial ends. No charge is made during the free trial period.
If payment fails we will attempt to retry the charge. If payment remains outstanding after 7 days we may suspend access to the platform until payment is received. We will notify you by email before suspending your account.
Monthly subscriptions are non-refundable except where required by law or where we have materially failed to deliver the service. Annual subscriptions are refundable on a pro-rata basis for unused complete months if you cancel within 30 days of renewal. Requests for refunds should be made to support@paspira.com.
You retain full ownership of all data you enter into the platform including your organisation data, emission activity data, and any reports you generate. We claim no intellectual property rights over your data.
You grant us a limited, non-exclusive licence to store, process and use your data solely for the purpose of providing the service to you. We do not use your emission data for any other purpose including benchmarking, research or product improvement without your explicit consent.
You can export your emission data in CSV format at any time from the platform. We will maintain your data in an exportable format for the duration of your subscription.
On termination of your account you have 30 days to export your data. After 30 days we will delete your data from our systems in accordance with our Privacy Policy. If you have regulatory requirements to retain records you should export your data before terminating your account.
Paspira operates a marketplace that connects buyers and sellers of verified carbon credits. We are a platform operator and are not a buyer, seller or broker of carbon credits. We do not verify the underlying projects or take responsibility for the quality, legitimacy or performance of credits listed on the marketplace.
When purchasing carbon credits through the marketplace you are responsible for conducting your own due diligence on the credit quality, verification standard, vintage and retirement status. We provide information as supplied by the seller and make no warranty as to its accuracy or completeness.
Credit sellers are responsible for ensuring that credits listed on the marketplace are genuine, verified, unretired and accurately described. Sellers must not list credits that have already been retired, transferred to another registry, or that do not meet the standard claimed. We reserve the right to remove listings and suspend seller accounts if we have reason to believe a listing is fraudulent or inaccurate.
Nothing on the platform constitutes financial, investment or legal advice. Carbon credit purchases should be considered carefully in the context of your organisation's wider sustainability strategy. We recommend taking independent professional advice before making material credit purchases.
All intellectual property in the Paspira CarbonLedger platform including the software, design, interface, algorithms, reports and documentation is owned by or licensed to Paspira. Nothing in these Terms transfers any intellectual property rights to you except the limited right to use the platform as described.
You must not copy, reproduce, decompile, reverse engineer or create derivative works from any part of the platform. You must not use our brand, logo or trademarks without our prior written consent.
To the fullest extent permitted by applicable law, Paspira shall not be liable for any indirect, incidental, special, consequential or punitive damages arising from your use of the platform, including but not limited to loss of profits, loss of data, regulatory penalties, reputational damage or loss of business opportunity.
Our total aggregate liability to you in connection with the platform shall not exceed the total subscription fees paid by you in the 12 months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.
The platform is provided for business use. As a business user you acknowledge that the Consumer Rights Act 2015 does not apply to your use of the platform.
The platform is provided "as is" and "as available". To the extent permitted by law we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose and non-infringement.
We do not warrant that the platform will be error-free, uninterrupted or free of harmful components. We do not warrant that emission calculations or reports generated by the platform will be accepted by any regulator, auditor, investor or third party.
Compliance with TCFD, CSRD, GHG Protocol or any other framework is your responsibility. The platform provides tools to assist with compliance but does not guarantee that use of the platform will satisfy any regulatory requirement.
You may cancel your subscription at any time by contacting support@paspira.com or through the account settings page. Cancellation takes effect at the end of the current billing period. You will retain access to the platform until the end of the period you have paid for.
We may suspend or terminate your account immediately if you breach these Terms, if we have reason to believe your account is being used fraudulently, or if required by law. We may also terminate accounts with 30 days notice for any other reason. In the event of termination without cause we will refund any unused prepaid subscription period.
On termination all licences granted to you under these Terms immediately cease. Your obligation to export your data within 30 days applies as described in section 6.4. Provisions of these Terms that by their nature should survive termination — including intellectual property, limitation of liability and governing law — will continue to apply.
These Terms of Service are governed by and construed in accordance with the laws of England and Wales. Any dispute arising from or relating to these Terms or your use of the platform shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Before commencing formal proceedings we encourage you to contact us at support@paspira.com to seek an informal resolution. We will use reasonable endeavours to resolve any dispute amicably within 30 days of receiving a written complaint.
We may update these Terms of Service from time to time. We will notify you of material changes by email or by displaying a notice on the platform at least 14 days before the changes take effect. Your continued use of the platform after the effective date of revised Terms constitutes acceptance of the changes.
If you do not agree to the revised Terms you may cancel your subscription before the effective date. We will refund any unused prepaid period on request in this circumstance.
